Terms of Service

Effective June 2026

These Terms of Service (the “Terms”) govern your access to and use of Axis (the “Service”), the manufacturing operations platform provided by Axis (“Axis”, “we”, “us”, or “our”). Please read them carefully — they are a binding legal agreement between you and Axis.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and “you” and “Customer” refer to that organization. If you do not agree to these Terms, you may not use the Service.

2. Service Description

Axis is a cloud-based manufacturing operations platform. It helps teams manage projects and tasks, track inventory, author build plans and bills of materials, run work orders, process material requests, and maintain quality and compliance records — all in one connected system. The Service is provided on a software-as-a-service basis and is accessed through a web browser. We may add, change, or remove features over time to improve the Service.

3. Account Registration

To use the Service you must register an account and provide accurate, current, and complete information. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account. You must be at least eighteen (18) years old, or otherwise authorized by your employer, to enter into these Terms. Each individual user requires their own seat; accounts and credentials may not be shared.

4. Subscription and Billing

The Service is offered under two subscription plans: Axis Projects at $10.99 per seat per month, and Axis Pro at $15.99 per seat per month. Subscriptions are billed on a per-seat basis, monthly in advance.

New customers receive a fourteen (14) day free trial. A valid payment method is required at registration, but your card will not be charged until the trial period ends. After the trial, your subscription automatically renews each billing cycle unless you cancel before the next cycle begins.

You may add or remove seats at any time; seat changes are prorated through our payment processor. Except where required by law, fees already paid are non-refundable, including for partial billing periods. We may change subscription pricing, and will give you at least thirty (30) days’ prior notice of any price change affecting your subscription. Fees are exclusive of taxes, which are your responsibility.

5. Customer Data Ownership

As between you and Axis, you own all right, title, and interest in and to the data, files, and records you upload to or create within the Service (“Customer Data”). We do not claim ownership of your Customer Data. You grant Axis a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide and support the Service for you.

6. Data Processing

Axis processes Customer Data on your behalf as a data processor, in accordance with our Privacy Policy and applicable data protection laws. A Data Processing Addendum (DPA) describing the safeguards, sub-processors, and processing terms is available on request by contacting support@axiscrm.org.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for the conduct of every user on your account and for ensuring that your use of the Service complies with all laws and regulations that apply to your business.

8. Prohibited Uses

You agree that you will not, and will not permit any user to:

  • upload, store, or transmit any technical data controlled under the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or any Controlled Unclassified Information (CUI), as the Service is not authorized or configured to handle export-controlled or government-controlled data;
  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service;
  • use scrapers, robots, spiders, or other automated means to access or extract data from the Service except through documented APIs and within their rate limits;
  • share, transfer, or sublicense account credentials, or permit any unauthorized person to access the Service;
  • probe, scan, or test the vulnerability of the Service, or circumvent any authentication, security, or access-control measure;
  • interfere with or disrupt the integrity or performance of the Service, or upload any malicious code.

9. Intellectual Property

The Service — including all software, source code, designs, text, graphics, trademarks, and logos — is and remains the exclusive property of Axis and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you with respect to the Service. You retain all rights in your Customer Data. If you provide feedback or suggestions about the Service, you grant Axis a perpetual, royalty-free license to use that feedback without obligation to you.

10. Limitation of Liability

To the maximum extent permitted by law, the total aggregate liability of Axis for all claims arising out of or relating to the Service or these Terms shall not exceed the total amount of fees you paid to Axis in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Exclusion of Consequential Damages

To the maximum extent permitted by law, neither party shall be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, business, goodwill, data, inventory or production records, or cost of substitute services — whether arising in contract, tort, negligence, strict liability, or any other legal theory, even if the party has been advised of the possibility of such damages.

12. Warranty Disclaimer

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Axis does not warrant that the Service will be uninterrupted, error-free, or secure, and does not warrant that your use of the Service will satisfy or maintain compliance with any law, regulation, standard, or certification (including, without limitation, ITAR, EAR, AS9100, ISO 9001, or FDA requirements). You remain solely responsible for your own regulatory and contractual compliance.

13. Indemnification

Each party (the “indemnifying party”) agrees to indemnify, defend, and hold harmless the other party and its affiliates, officers, directors, employees, and agents from third-party claims, damages, losses, and reasonable expenses (including reasonable attorneys’ fees) arising out of the indemnifying party’s breach of these Terms or violation of applicable law. You will additionally indemnify Axis against claims arising from your Customer Data or your use of the Service. Each party’s indemnification obligations under this section are subject to the limitation of liability set out in Section 10.

14. Data Export

You may export your Customer Data at any time while your subscription is active using the export functionality built into the Service (Settings › Account › Export data). Following termination or cancellation, your Customer Data remains available for export for thirty (30) days.

15. Data Deletion

After the thirty (30) day post-termination export window closes, Axis may delete your Customer Data from active systems. Customer Data is purged from routine database backups no later than ninety (90) days after termination, except where retention is required by law.

16. Termination

You may cancel your subscription at any time from Settings › Billing; cancellation takes effect at the end of the then-current billing cycle. Either party may terminate these Terms for the other party’s material breach that remains uncured. For terminations not based on breach, Axis will provide at least thirty (30) days’ prior notice. Upon termination, your right to access the Service ends, subject to the export and deletion provisions above. Sections that by their nature should survive termination will survive.

17. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by a recognized arbitration body, conducted in English and seated in Delaware. You and Axis each waive any right to participate in a class action, class-wide arbitration, or representative action; disputes must be brought in an individual capacity only. Either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

18. Modifications

We may modify these Terms from time to time. We will give you at least thirty (30) days’ prior notice of any material change, by email or in-Service notification. Your continued use of the Service after the effective date of a change constitutes acceptance of the modified Terms. If you do not agree to a change, your sole remedy is to cancel your subscription.

19. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any order forms or written agreements between you and Axis, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous communications and agreements, whether oral or written.
